We are looking for volunteers for our standing committees on securities law, corporations, nonstock corporations and LLCs and other business entities, as well as volunteers to serve on several ad hoc committees. We are also looking for a co-chair to serve with Ted Whittemore of the Securities Subcommittee and a chair or co-chair for the nonstock committee.

Short Program
David Swerdloff of Day Pitney LLP will discuss penalties which may be imposed upon out-of-state entities failing to register to do business in Connecticut.

Main Program
Benefit Corporations. Connecticut’s new Benefit Corporation Act, Sections 140-154 of Public Act 14-217, will become effective on October 1 and will provide a vehicle for a socially and environmental conscious business to adopt a corporate legal structure under Connecticut law that formalizes a commitment to general and specific public benefits. In less than four years benefit corporation laws have been passed in 27 states, including DC, and are currently being considered in 13 other states. Hillel Goldman of Mix & Goldman, LLC, Jack Horak of Reid and Riege, P.C., John Lawrence of Shipman & Goodwin LLP, James McLaughlin of Murtha Cullina LLP, and James Woulfe of reSET Social Enterprise Trust will review the key provisions of the new Act and discuss the pros and cons of benefit corporations, where to incorporate a benefit corporation, the primary structural considerations in forming a Connecticut benefit corporation, fiduciary duties of benefit corporation directors, and what to consider in drafting the certificate of incorporation and bylaws of a Connecticut benefit corporation. This will be a shortened version of a program that the Section will be presenting at the CBA headquarters on Friday, September 19.
