Short Program 

John H. Lawrence, Jr. of Shipman & Goodwin will present a general update of developments relating to Social Benefit Corporations and then discuss proposed amendments to the Connecticut Benefit Corporation Act.

Main Program 

Thomas J. Walsh, Jr. of Brody Wilkinson and Michael Fox of ICR will discuss:
“Helping Your Clients Prepare For A Rainy Day: Best Crisis Management Practices.”

Topics include:

  • development of a crisis management plan
  • creation of the crisis management team
  • establishing external and internal communication channels
  • looking at crisis situations in a holistic way that includes not only the legal strategy, but also considers management of other interests such as protection of brand reputation.

Michael Fox is a Managing Partner of ICR, one of the largest strategic financial communications firms in the U.S.  Michael specializes in financial PR, corporate communications, crisis management and executive presentation coaching for companies and organizations of all sizes and industries.  He has managed communications for more than 100 IPOs, scores of mergers, activist shareholder contests and other corporate transactions as well countless corporate crises stemming from issues such litigation, environmental contamination, product recall, accounting fraud, natural disaster, regulatory sanctions, data breaches and unexpected executive departures, among others.

Prior to joining ICR in 2002, Michael was head of the U.S. Corporate Communications Practice for Ogilvy Public Relations Worldwide where he led teams that provide corporate PR services for clients including Deloitte, United States Tobacco, McKesson, Dow Chemical, WebMD and BP. His team's work with BP in 2001 was recognized by PRWeek Magazine as one of the "20 Best Campaigns of All Time." Prior to beginning his career in corporate PR, Michael spent eight years on the staff of Congressman Christopher Shays (CT-4). He has run campaigns at the federal, state and local level and served as an advisor to elected officials and candidates.

Thomas J. Walsh, Jr. is a principal of Brody Wilkinson and chair of the firm’s Business practice group. His practice is focused primarily in the areas of general corporate matters, commercial transactions, financing and commercial real estate. Tom counsels clients – from entrepreneurial start-up enterprises to larger privately held companies – through each phase of their growth serving as primary outside counsel. He advises on issues such as the ideal form of organization, ownership and buy-sell agreements, critical contracts with employees and third parties, debt and equity financing, and dispute resolution. Beyond the start-up phase, Tom also advises on business expansion opportunities, such as mergers and acquisitions, marketing and licensing agreements, private equity and venture capital financing and joint ventures. He assists clients with the business and legal aspects of negotiating transactions, enhancing business value and business succession planning.

Tom is actively involved in the American Bar Association’s Business Law Section and is chair of its Middle Market and Small Business Committee.
