About the Program

This seminar will examine common issues encountered in negotiating and drafting LLC Agreements for closely held enterprises.  We will focus on buy-sell provisions including (i) planning for 754 elections, (ii) opportunities with Section 736, (iii) the impact of Section 751 (iv) 83(b) elections and (v) the impact of capital accounts on buy-sell provisions.
