Young Attorney/Paralegal Track
Presented by the Estates and Probate, and Tax Law Sections
About the Program
As the “Baby Boom” generation enters its “golden years,” thousands of small business owners throughout Connecticut are looking for an exit strategy to ensure their business will continue to thrive and prosper without their day-to-day participation. Transitioning a business to new owners and ensuring that the transaction goes smoothly requires knowledge of the most common business exit strategies and the goals and objectives of both the seller and the buyer.
In this fast-paced, entertaining presentation, attendees will learn the business, legal, tax, estate planning and other considerations involved in selling a business to its current employees, to the owners’ family members, to strategic buyers and to competitors.
You Will Learn
- How to identify the “best” buyer for a business
- How to prepare your client’s business for sale
- How to deal with business brokers
- About employee-ownership structures
- About tax and estate planning considerations involved in selling a business to family members
- About asset sales vs. stock sales
- About earnout and holdback provisions in acquisition documents
- About special considerations when the seller is an LLC or S corporation
- About the seller’s continuing involvement in the business post-closing
