This seminar is designed to give the attendee an introduction to corporate law, corporate governance, and related commercial transactions.

- About the most common (and certain lesser common) types of entities
- About the primary reasons why forming an entity is recommended from the outset of forming business relationships and transacting business
- About restrictions on forming certain types of entities
- About key considerations to determine which type of entity and overall corporate structure is best suited for the individual and type of business
- About the most common types of business transition events and how to best position yourself, your business partners and the business itself in case you encounter such events in the future
- About personal liability considerations and potential corporate “veil-piercing” issues as well as a brief overview of certain federal and state securities law requirements in the event you wish to finance your business or otherwise sell equity to third parties
- How different types of entities are taxed in general
- About intellectual property considerations, brand protection issues, an overview of engaging independent contractors versus hiring employees and key differences between the two, an overview of standard business transaction agreements, and invention ownership rights and associated equity compensation
