About the Program
The presenters will discuss what Private Placement Memoranda and Investor Pitch Decks are, their purpose and the important elements to include in them for an exempt securities private offering. To support the understanding of what rules apply to PPM’s, we will introduce what a security is, the available private offering exemptions from having to conduct a public offering like Regulation D: Rule 506(b) and (c), Sect. 4(a)(6) to a lesser extent Rules 504 and 505. There will be a brief introduction to Regulation CF (crowdfunding), simplified Regulation A, and Regulation S offerings too.
