IP Considerations in Business Transitions

Program Description
The speakers will discuss the role of business attorneys in helping clients to identify potential issues related to intellectual property, during business formation and during sale or purchase of a business. Some issues to be discussed include intellectual property risk assessments, alignment of intellectual property efforts to business type, observation of formalities related to intellectual property registration or transfer, and maintenance and assessment of internal processes for intellectual property development and management. Specific points to be addressed include employment and vendor agreements, representations and warrantees, “clearance” searches and opinions, trade secret precautions, copyright ownership questions, the importance of distinctiveness in choosing a business name and other trademarks, and the appropriate balance of financial resources between types of intellectual property and other business investments.
