Michael Carter, Founder and Managing Partner of Carter Morse & Goodrich, a boutique M&A advisory firm that specializes in representing founder-led and family-held businesses valued between $25 million and $250 million.

Rich Izzi, Partner-in-Charge, Transaction Advisory Services - NY Metro Region at Marcum (13th largest CPA firm) specializing in transaction advisory services, to buy- and sell-side clients including private equity funds, strategic investors and lenders.

Program Description

Michael will uncover issues that business lawyers sometimes neglect in M&A transactions. Being mindful of these issues can help your M&A clients:  pursue the right transactions, realize higher valuations, accelerate closings and avoid busted transactions, achieve better terms and enhance relationships between buyers and sellers. Furthermore, he will cover the benefits and risks of rollover equity from a valuation and structure perspective.

Rich will cover pitfalls in agreements related to net working capital and GAAP definitions and make suggestions on drafting and negotiating agreements to help avoid post-closing disputes.

Pactice Note | Executive Order Regulating Investments by “U.S. Persons” into China and Chinese-related Enterprises

Program Description

President Biden, in August, issued an Executive Order that regulates investments by “U.S. persons” into China and Chinese-related enterprises in certain sensitive technologies involving semiconductor and microelectronic technologies, quantum information technologies, and artificial intelligence (AI) technologies on the basis that such investments could threaten the national security of the United States. Prior to the executive order, the U.S regulated only inbound foreign direct investments through the Committee on Foreign Investment in the United States (CFIUS). This is the first instance of U.S. regulation of outbound foreign direct investment other than through export controls. Congress is also considering more expansive legislation on outbound foreign direct investment. The presentation will discuss the terms and scope of the Executive Order and the proposed regulations.
