Program Description

The Uniform Commercial Code (“UCC”) is a set of laws to govern commercial transactions that has been adopted by every U.S. jurisdiction and forms the basis for most commercial law in business and consumer transaction in the United States.  The 2022 Amendments to the UCC are necessary to provide uniform rules to govern digital assets, including electronic signatures, negotiability and security interests in electronic currency and a new Article 12 relating to “controllable electronic records” (including crypto currency and non-fungible tokens (NFTs) and similar digital assets).  The 2022 Amendments also align the UCC terms with electronic records and signatures and provide guidance on hybrid transactions under sales and leases of goods and make other corrections. 

Connecticut adopted these revisions, effective as of January 1 2025, with the support of the Business Law and Commercial Law & Bankruptcy Sections and they are now the law in the majority of states of the United States.

This presentation will provide an overview of these changes and changes to commercial law – particularly with respect to newly created digital assets, including cryptocurrency.
