Presented by CT Bar Institute
About the Program
A hospital director's legal duty doesn't stay fixed, it shifts with who owns the hospital, and most directors never get taught that until it's tested in a crisis. This session teaches hospital board fiduciary duty as a framework that changes shape with corporate form, using two Pennsylvania cases as evidence: Hahnemann University Hospital's 2018 private equity acquisition and 2019 closure, where the presenter served as a director, and the 2025 bankruptcy closure of Crozer Health's remaining hospitals, which left a county of 584,000 people with two. Both prompted a legislative response, currently pending as Pennsylvania's Health System Protection Act, which would give the Attorney General new authority to review hospital transactions. That bill is opposed by the state's hospital industry association on the grounds that added review could deter the investment struggling hospitals need. The session presents both sides.
Join Brian Sims – a civil rights attorney and former five-term Pennsylvania state legislator who served nearly a decade across six legislative committees, including Health and Human Services – as he breaks down hospital governance and fiduciary duty across corporate forms. The presenter also served as a director of Hahnemann University Hospital during the events discussed and currently serves as a director of Vivent Health.
You Will Learn
- How a hospital director's fiduciary duty changes with corporate form
- How to identify which framework governs a given board seat
- How to apply the corporate-form and regulatory-timing frameworks together to a hypothetical distressed hospital
