When it Comes to Attorney Opinion Letters, Which Opinions Are Best Kept to Yourself?

Program Description

You’re representing the borrower in a commercial lending transaction. Your client is on you to get the deal closed. You’re running flat out through the Lender’s closing agenda trying to get all the documents reviewed and your comments back to the lender, trying to round up all the items on the list assigned to you, and the last thing on your list is the required “Opinion of Borrower’s Counsel”. The Lender may have even offered you a form. Many lawyers just put that form on their letterhead and sign it without a care in the world. Full stop. Opinion letters are not to be trifled with because they can and do come back to haunt you. This presentation will give you an overview of the opinion letter: What does it contain? Is it enforceable? Can you issue the opinions requested? What carveouts are appropriate? And yes, there is a better way. The ABA, ACREL, and your very own Real Property Section have created model opinions that will make your life considerably easier and lessen the likelihood you will issue that opinion that was better left unspoken.
