Show Your Work: How Deal Numbers Are Built and
Why Lawyers Should Help Build Them Too
Moderator
Thomas J. Walsh, Jr., Brody Wilkinson PC
Speakers
Michael Carter, Carter Morse & Goodrich
Jason Correia, CLA (CliftonLarsonAllen LLP)
Program Description
Adjusted EBITDA and working capital targets are not handed down from the financial advisors; they are built step by step from judgment calls that lawyers can understand, question, and shape. Our panel starts with the company’s books and walks through each step: which add-backs to EBITDA survive scrutiny, how a working capital target is set, what are debt-like items, and how the headline price carries through to the closing wire. You will leave able to trace every number in the deal back to its source and to negotiate the choices that produced it.
