About the Program

We will discuss the most important federal and state laws applicable to exempt private securities offerings.   We will provide an overview of the basic federal and state regulatory frameworks for private offerings like Section 4(a)(2) and Rules 506(b) and (c) under Regulation D, Section 4(a)(6) and, to a lesser extent, Rule 504, as well as the federal preemptions for Covered Securities and the limitations of the CT limited offering exemption.  There will be a brief discussion of the pros and cons of Regulation CF (crowdfunding) offerings and the pitfalls of an offshore offering under Regulation S.
